§ 1 General Provisions and Scope
1.1 These General Terms and Conditions (hereinafter referred to as "GTC") govern the use of the Networker United digital platform, operated by Prime Focus Invest AG, Blegistrasse 7, 6340 Baar, Switzerland (hereinafter referred to as "Networker United", the "Operator", "we", or "us").
1.2 These GTC apply to all registered users, paid members, and visitors to the platform, insofar as the respective provisions are applicable to their use.
1.3 Networker United is a digital platform for professional presentation, networking, and establishing contacts between individuals and businesses, particularly in the fields of network marketing, direct selling, referral marketing, and related business models.
1.4 The platform is intended for users from different countries. Any legally required restrictions on individual services in certain countries remain reserved.
1.5 For the purposes of these GTC, "Users" are natural persons or legal entities that create a user account with Networker United. "Premium Members" are users with an active paid subscription.
1.6 By registering, users accept these GTC through an explicit confirmation during the registration process. Additional contractual terms displayed during the respective booking process apply to the purchase of paid services.
1.7 Individually agreed written arrangements take precedence over these GTC. Mandatory statutory rights remain unaffected in all circumstances.
1.8 Users have no entitlement to services or features that are not expressly included in their membership.
§ 2 Registration and User Accounts
2.1 Creating a user account and using the free Basic Membership are generally free of charge.
2.2 Registration does not create any obligation to purchase a paid subscription.
2.3 Registration is available to adults with legal capacity and to legal entities represented by duly authorised persons. Minors are not permitted to register independently.
2.4 All required information provided during registration must be complete, accurate, and up to date. Users are obliged to update their information promptly whenever changes occur.
2.5 Each user may generally operate only one personal user account. Additional accounts are permitted only with the express consent of Networker United.
2.6 Login credentials must be kept confidential and protected against unauthorised access by third parties. Transferring or sharing a user account with third parties without the Operator's consent is prohibited.
2.7 Networker United reserves the right to refuse registration where there is an objective reason to do so. There is no entitlement to the creation of a user account.
2.8 Networker United may verify information concerning identity and business activities where necessary for security, prevention of misuse, or compliance with legal obligations.
2.9 Users use the platform at their own responsibility. Users are responsible for all activities they personally carry out through their user accounts.
§ 3 Free Basic Membership
3.1 Networker United provides a free Basic Membership.
3.2 Basic Membership allows users to create and manage a personal user profile and access functions expressly designated as free of charge.
3.3 Free Basic Membership does not include paid visibility on Networker United's interactive map.
3.4 Users are not entitled to any particular positioning, reach, visibility, or referral of business contacts.
3.5 Users may terminate their free membership at any time. Account deletion is carried out subject to statutory retention obligations and applicable data protection provisions.
3.6 Networker United may modify, expand, or discontinue free services for objective reasons, provided that no mandatory statutory rights are violated. Services agreed under existing paid contracts remain subject to the relevant contractual arrangements.
§ 4 Premium Membership and Scope of Services
4.1 In addition to the free Basic Membership, Networker United offers a paid Premium Membership.
4.2 Premium Membership allows, in particular, the publication of the user's profile on the interactive map and its discoverability by other visitors to the platform.
4.3 Premium Membership costs EUR 9.90 per month. Applicable taxes and the binding total price will be displayed before the paid contract is concluded.
4.4 Additional paid features or supplementary services require a separate, explicit booking.
4.5 User profiles are displayed based on the information provided by users and the technical functionality of the platform.
4.6 Networker United does not guarantee any specific number of profile views, contact requests, business partners, concluded contracts, commissions, or revenue.
4.7 Premium Membership does not constitute an ownership interest in Networker United or Prime Focus Invest AG and does not establish any shareholder or corporate rights.
4.8 Networker United is not obliged to actively arrange business contacts or achieve any particular economic result.
4.9 The scope and presentation of purchased services are determined by the service description published at the time the contract is concluded. Material changes that adversely affect users are subject to the contractual amendment provisions of these GTC.
§ 5 Conclusion of Contract
5.1 Registration for free Basic Membership takes place by entering the required information and expressly accepting these GTC.
5.2 A paid Premium Membership contract is concluded when the user makes a binding subscription booking and Networker United accepts it.
5.3 Before a paid booking is completed, the price, billing period, contract duration, and cancellation conditions will be clearly and understandably displayed.
5.4 A payment obligation arises exclusively through an ordering process that is expressly identified as involving a payment obligation.
5.5 After conclusion of the contract, the user receives an electronic confirmation containing the essential contractual information.
5.6 Networker United reserves the right to reject orders where there are specific indications of fraudulent activities, abusive use, false information, or legal obstacles.
§ 6 Contract Duration, Automatic Renewal, and Cancellation
6.1 Premium Membership is concluded for a monthly billing period.
6.2 The subscription automatically renews for successive one-month periods unless cancelled beforehand.
6.3 Ordinary cancellation is possible at any time, taking effect at the end of the current billing period.
6.4 Cancellation may be submitted through the designated function within the user account or by email to hello@networker-united.com.
6.5 Any additional cancellation options required by law, particularly those applicable to consumer contracts, remain unaffected.
6.6 Cancellation will be confirmed electronically. Timely receipt of the cancellation notice determines its effectiveness.
6.7 Premium Membership ends upon expiry of the paid billing period. The associated visibility on the interactive map will then be deactivated.
6.8 The free Basic Profile remains active after cancellation of Premium Membership unless the user also requests deletion of the user account.
6.9 Cancellation of Premium Membership does not automatically extinguish lawfully accrued payment claims or other existing obligations.
6.10 Both contractual parties retain the right to terminate the contract for good cause.
§ 7 Payment Terms
7.1 Premium Membership fees are billed monthly in advance.
7.2 Payment is made using the payment methods offered during the booking process.
7.3 By expressly concluding a subscription, the user authorises recurring charges to the selected payment method in the amount of the applicable contractually agreed fees.
7.4 Invoices and payment confirmations may be provided electronically.
7.5 Users must ensure that their payment information is correct and that sufficient funds are available through the selected payment method.
7.6 If a payment fails, Networker United may initiate another payment request and notify the user of the outstanding amount.
7.7 In the event of continued payment default, Networker United may temporarily restrict or suspend paid functions after providing appropriate notice.
7.8 Statutorily permissible default interest and proven, legally recoverable reminder or debt collection costs may be charged.
7.9 Fees already paid for fully delivered billing periods are generally non-refundable. Statutory reimbursement rights, valid withdrawals, justified extraordinary terminations, and claims relating to services not provided remain unaffected.
7.10 Chargebacks or payment reversals will be reviewed with due regard to the user's statutory rights.
§ 8 Prices and Changes to Services
8.1 Networker United may change prices and the scope of services for future contractual periods where an objective reason exists.
8.2 Price changes affecting existing Premium Memberships will be communicated to users in text form at least 30 days before their intended effective date.
8.3 A price increase does not become part of an existing contract solely because the user remains silent. A legally valid contractual basis or explicit consent is required.
8.4 If the user does not agree to a proposed price increase, the existing contractual relationship may continue under the previous terms until lawfully terminated.
8.5 Technical adjustments and changes that do not materially impair the contractually agreed services may be carried out within the agreed scope of services.
8.6 In the event of a material adverse change to paid services, affected users may terminate their subscriptions before the changes take effect.
8.7 Fees paid in advance for services that will no longer be provided will be refunded proportionately, unless a lawful offsetting claim or another statutory reason prevents reimbursement.
§ 9 Profiles, Content, and User Obligations
9.1 Users are solely responsible for all content, information, images, descriptions, and links they publish.
9.2 Users warrant that they hold the necessary rights to the content they upload and that publishing such content does not infringe the rights of third parties.
9.3 In particular, unlawful, discriminatory, offensive, defamatory, misleading, fraudulent, or privacy-infringing content is prohibited.
9.4 The distribution of malicious software, automated misuse, identity impersonation, and unauthorised use of third-party personal data are also prohibited.
9.5 Users must not publish false income claims, unsubstantiated earnings guarantees, or misleading statements about business opportunities.
9.6 The promotion of unlawful distribution, investment, or compensation schemes is prohibited. In particular, pyramid or similar schemes prohibited under applicable law must not be promoted.
9.7 Users undertake to comply with all commercial, tax, competition, data protection, and other legal requirements applicable to their activities.
9.8 Using published contact details for unsolicited unlawful advertising, automated mass outreach, or other illegal contact activities is prohibited.
9.9 Networker United may review, temporarily disable, or remove content where there are specific indications of legal violations.
9.10 When taking measures against users, Networker United will consider the severity of the violation, repeated offences, and the legitimate interests of those affected. Where legally permissible and appropriate, users will be informed of the reasons for the measures and given an opportunity to respond.
§ 10 Referral Programme and Commissions
10.1 Networker United may allow registered users to participate in a referral programme.
10.2 Under this programme, users may earn commissions for successfully referring new paying members to Networker United, provided that the applicable conditions are met.
10.3 Where provided for in the binding compensation model displayed to participants, the referral commission is 10% of eligible revenue actually received and not subsequently reversed from attributed paid memberships.
10.4 The calculation basis, including the treatment of VAT, payment service provider fees, discounts, and refunds, is determined by the compensation rules published in the referral section.
10.5 A commission entitlement arises only from a properly recorded, clearly attributed, and programme-eligible referral.
10.6 Commission entitlements may be cancelled or adjusted if the underlying payment fails, is refunded, or is validly reversed.
10.7 Self-referrals, artificially generated memberships, sham transactions, manipulated attributions, and similar abusive practices are prohibited.
10.8 Participation in the referral programme does not establish an employment relationship, commercial agency relationship, ownership interest, or other exclusive relationship with Networker United.
10.9 Users act independently when making referrals and must comply with all applicable legal requirements, particularly competition and data protection laws.
10.10 Networker United may exclude users from the referral programme in cases of proven serious violations, subject to the principle of proportionality.
10.11 Commission claims that have already lawfully accrued generally remain valid following termination of membership, subject to justified corrections and statutory counterclaims.
10.12 Networker United may modify or discontinue the referral programme for the future. Previously accrued entitlements remain unaffected. Affected participants will receive appropriate advance notice of material changes.
§ 11 Commission Statements and Payments
11.1 Commission balances will be displayed in the designated user area where this functionality is provided.
11.2 A payout may be requested once an available commission balance of at least EUR 50.00 has been reached.
11.3 Payouts are not automatic and require an appropriate withdrawal request from the eligible user.
11.4 Payment is conditional upon the provision of complete and accurate payment information and compliance with any legally required identity verification or documentation obligations.
11.5 Networker United may temporarily withhold a payout where there are specific indications of manipulation, fraudulent conduct, incorrect attribution, or other legal obstacles to payment.
11.6 Commissions paid without entitlement or subsequently invalidated due to chargebacks may be reclaimed or offset against due counterclaims in accordance with applicable law.
11.7 Users are responsible for declaring their earnings in accordance with applicable tax and social security laws, insofar as the relevant statutory obligations do not fall upon Networker United.
11.8 Upon termination of a user account, existing lawfully accrued commission balances may still be claimed. Payment remains subject to justified checks, statutory obligations, and reasonable administrative processing.
11.9 Legally enforceable claims must not be forfeited without compensation solely because the minimum threshold for a standard payout has not yet been reached.
§ 12 Intellectual Property and Usage Rights
12.1 All trademarks, logos, texts, databases, designs, graphics, software components, and other protected content provided by Networker United are the property of the Operator or the respective rights holders.
12.2 Commercial reuse of such content outside the intended platform functions is prohibited without prior consent, unless permitted by law.
12.3 Users retain ownership of the rights to content they create and publish themselves.
12.4 For the period necessary to provide and use their content in accordance with the contract, users grant Networker United a non-exclusive licence limited to the purposes of the contract.
12.5 This licence includes, in particular, the storage, technical processing, formatting, and public display of content approved for publication by the user within the platform.
12.6 Any additional promotional use of user content, particularly in independent advertising campaigns, requires an appropriate legal basis or separate consent.
12.7 Automated and systematic extraction, reproduction, or commercial exploitation of platform data is prohibited unless legally authorised or expressly approved.
§ 13 Platform Availability and Technical Services
13.1 Networker United endeavours to operate the platform reliably and securely.
13.2 Uninterrupted availability at all times cannot be guaranteed due to technical circumstances unless a separate availability guarantee has been agreed.
13.3 Temporary restrictions may arise, in particular, from maintenance, security measures, software updates, network disruptions, or unforeseen technical problems.
13.4 Significant planned maintenance work will be announced in advance whenever reasonably possible.
13.5 Networker United may implement reasonable technical measures to improve the security, stability, and functionality of the platform.
13.6 In the event of substantial and prolonged impairment of paid services, statutory rights to price reductions, refunds, and termination remain unaffected.
§ 14 Suspension and Termination of User Accounts
14.1 Networker United may temporarily restrict or suspend user accounts where there are specific indications of serious violations of these GTC, fraudulent activities, or unlawful conduct.
14.2 Where possible and reasonable, affected users will be given an opportunity to respond or remedy the violation before permanent suspension.
14.3 Immediate suspension is permitted where necessary to prevent significant damage, stop misuse, or comply with legal obligations.
14.4 Measures must be proportionate, taking into account the nature, severity, and frequency of the violation.
14.5 Users may request deletion of their user accounts at any time. Existing subscriptions and outstanding mutual claims will be handled in accordance with the applicable contractual and statutory provisions.
14.6 Statutory retention periods and legitimate record-keeping obligations may prevent the immediate and complete deletion of certain data.
§ 15 Liability
15.1 Networker United provides its services with reasonable commercial and technical care.
15.2 Networker United operates a digital platform and is generally not a contractual party to business agreements concluded between users or between users and third parties.
15.3 Networker United assumes no responsibility for the services, products, contractual terms, or commercial promises of third parties, unless it bears its own statutory or contractual responsibility.
15.4 Networker United does not guarantee the financial capacity, integrity, or reliability of other users.
15.5 Liability for damage caused intentionally or through gross negligence is not excluded or unlawfully limited.
15.6 Liability for damage caused by ordinary negligence is limited to the extent legally permissible. Mandatory liability provisions and claims involving injury to life, body, or health remain unaffected.
15.7 To the extent permitted by law, Networker United is not liable for damage caused exclusively by unlawful actions of third parties, technical disruptions outside its area of responsibility, or circumstances attributable to the user.
15.8 Liability for data loss, security incidents, or technical impairments is governed by applicable statutory provisions, taking account of the respective responsibilities and security measures implemented.
15.9 Mandatory statutory warranty, compensation, and consumer protection rights remain unaffected.
§ 16 External Content and Business Relationships
16.1 Networker United may contain links to external websites, companies, services, and third-party offers.
16.2 External providers are responsible for their own content, offers, and contractual terms.
16.3 Networker United does not generally assess external offers for their economic attractiveness or legal compliance but remains responsible for its own statutory duties to investigate, restrict, or take action where applicable.
16.4 Users independently decide whether to enter into business relationships with other users or external companies.
16.5 Networker United does not guarantee the performance or fulfilment of such business relationships.
§ 17 Data Protection
17.1 Personal data is processed in accordance with applicable data protection legislation, particularly the Swiss Federal Act on Data Protection and, where applicable, the General Data Protection Regulation of the European Union.
17.2 Information about the processing of personal data, its purposes, disclosure to third parties, and the rights of data subjects is provided in the separate Privacy Policy at www.networker-united.com/datenschutz.
17.3 Users are responsible for ensuring that they do not publish third-party personal data on the platform without an appropriate legal basis.
17.4 Users may exercise their data protection rights through the contact channels indicated in the Privacy Policy.
17.5 The publication of personal information in publicly visible profiles takes place only on the basis of applicable legal grounds and the settings selected by the user.
17.6 Where separate consent is legally required, particularly for non-essential advertising or tracking measures, acceptance of these GTC alone does not constitute such consent.
§ 18 Force Majeure
18.1 Events of force majeure beyond a party's reasonable control may temporarily impair or prevent the performance of contractual obligations.
18.2 Such events may include natural disasters, war, terrorist attacks, government measures, widespread power outages, or other unforeseeable and unavoidable events.
18.3 The affected party will take reasonable measures to limit the consequences of such events.
18.4 If a material impairment continues for an unreasonably long period, the parties may terminate the affected contractual relationship in accordance with applicable law.
18.5 Fees already paid for services permanently not provided will be handled in accordance with the applicable contractual and statutory rights.
§ 19 Amendments to the General Terms and Conditions
19.1 Networker United may revise these GTC for objective reasons, particularly due to changes in legislation, technological developments, or necessary adjustments to platform operations.
19.2 Material changes will generally be communicated to affected registered users in text form at least 30 days before their intended effective date.
19.3 Changes to essential contractual obligations or other changes that materially alter the contractual balance to the user's disadvantage require a legally valid basis or explicit consent.
19.4 Mere silence on the part of a user does not generally constitute consent to adverse contractual changes.
19.5 Users will be informed of any applicable cancellation or objection rights.
19.6 Contractual periods already completed generally remain subject to the terms validly agreed at the relevant time.
§ 20 Consumer Rights and Mandatory Statutory Provisions
20.1 Where Networker United enters into contracts with consumers, all mandatory applicable consumer protection provisions apply in addition to these GTC.
20.2 Statutory rights of withdrawal or rescission are not excluded or restricted by these GTC.
20.3 Where a statutory right of withdrawal applies, the required information and notices will be provided separately before the contract is concluded.
20.4 Where required by law, appropriate electronic cancellation facilities will be provided for paid continuing contractual relationships concluded online.
20.5 Mandatory information obligations, statutory formal requirements, and statutory warranty and reimbursement rights remain unaffected.
§ 21 Electronic Communication
21.1 Contractual communication between Networker United and registered users generally takes place electronically.
21.2 Users agree to receive contract-related notifications, invoices, and other information at the email address registered with their account, where legally permissible.
21.3 Users are obliged to keep their registered email addresses up to date.
21.4 Receipt of legally significant declarations is governed by applicable statutory provisions. The mere sending of an email does not establish an irrebuttable presumption of receipt.
21.5 Electronic marketing communications will only be sent where the applicable legal requirements are satisfied.
§ 22 Governing Law and Jurisdiction
22.1 The contractual relationship between Networker United and its users is generally governed by the substantive laws of Switzerland.
22.2 Mandatory statutory provisions of other countries that cannot validly be excluded under applicable international rules remain unaffected.
22.3 For disputes involving business users, the registered office of Prime Focus Invest AG in the Canton of Zug, Switzerland, shall be the exclusive place of jurisdiction to the extent legally permissible.
22.4 Disputes involving consumers are subject to the applicable mandatory statutory jurisdiction provisions.
22.5 This choice of law does not exclude the application of mandatory data protection, consumer protection, or competition law provisions.
§ 23 Severability Clause
23.1 Should any provision of these GTC be wholly or partially invalid or unenforceable, the remaining provisions shall generally remain effective, provided that the contractual relationship can reasonably continue without the affected provision.
23.2 The applicable statutory provisions shall apply in place of invalid provisions.
23.3 Any gaps in these GTC shall be governed by the applicable statutory provisions and, where legally permissible, supplementary contractual interpretation.
§ 24 Final Provisions
24.1 These GTC, together with the service descriptions expressly incorporated during the respective conclusion of a contract, form the contractual basis for the use of Networker United.
24.2 Separate agreements concerning special services or the referral programme apply in addition, insofar as they have been validly incorporated and do not conflict with these GTC.
24.3 The version of these GTC validly agreed for the respective contractual relationship shall apply.
24.4 The latest version will be published on the website at www.networker-united.com/agb.
